Abdulwahab Sadeq

Dr. Sadeq is a New York-qualified lawyer with long-term experience in Capital Markets, advising companies, private equity funds and investment banks on a wide range of corporate and financing transactions.

His expertise includes equity offerings (IPOs, rights issues and block trades), securitizations, convertible and exchangeable bonds offer, debt issues, liability management transactions and regulatory capital and hybrids securities, acting both for financial institutions and issuers. He also specializes in banking transactions, financial sector private M&A, and private equity investments.

  • Agility Logistics in connection with:
    • In an expropriation-related dispute with the Iraq Communications & Media Commission related to its investment in Korek Telecom, one of Iraq’s largest telecom companies.  The dispute represented one of the first proposed ICSID arbitrations under the Iraq-Kuwait Bilateral Investment Treaty ratified between the two countries in 2015.

    • its criminal indictment and civil U.S. False Claims Act charges in one of the largest government contracting cases ever brought by the U.S. government

  • Acting for Mobile Telecommunications Company (Zain) on the two largest public M&A transactions in Kuwait in 2017 – the disposal of treasury shares to Omantel for USD 900 million, and Omantel’s follow-up acquisition of a 12% stake in Zain by the Al-Kharafi family for USD 1.35 billion.

  • The Government of Kuwait on the $85 billion development of Madinat al-Hareer (Silk City), a 450 square kilometer city on the northern coast of Kuwait Bay with residential, leisure, commercial and industrial components, including road, rail, sea, and airport infrastructure.

  • Advised Massaleh Real Estate Company K.S.C.P. a publicly traded company since 1997 on debt restructuring, and sale of shares of its subsidiaries.

  • Advised Mobile Telecommunications Company “Zain” on the sale of its entire block of treasury shares, representing 9.84% of Zain’s share capital, to Oman Telecommunications Company (“Omantel”) valued at $846m.

  • Advised Al Khair National for Stocks and Real Estate Company WLL on the sale of ordinary shares, representing 12.063% of Zain’s share capital, to Oman Telecommunications Company (“Omantel”) valued at $ 1.3b.

  • Advised the selling shareholders Falcon Group of 4Sale General Trading and Contracting company through the life of the transaction including negotiating the definitive transaction documents and facilitating closing of the investment. Valued at $100m.
