Michel George Ghanem

Michel is a trilingual lawyer with over 10 years of experience advising on corporate and commercial matters, particularly in the Middle East and North Africa. He specializes in cross-border mergers and acquisitions (M&A), joint ventures, private equity and foreign direct investment. He has worked with clients operating in most business sectors, including telecommunication, logistics, healthcare, media, manufacturing, energy and financial services.

Michel holds academic qualifications in common law and civil law. He graduated from the University of Aberdeen in the United Kingdom with a Master of Laws degree (LL.M) in International Commercial Law ("Merit" awarded). He also completed his undergraduate law degree (LL.B) at the Lebanese University in Beirut and a postgraduate degree in international business at the Notre Dame University in Lebanon. Michel is admitted to the Beirut Bar Association and is a member of the International Bar Association. He joined Meysan Partners Kuwait office in March 2015.

I- M&A, Restructuring and Partnerships

  • Representing a consortium led by National Investment Company in acquiring a majority stake in Boursa Kuwait (2019);
  • Advising Agility Logistics on multiple transactions, including (i) the acquisition of eShips LLC in Abu Dhabi (2015); (ii) the acquisition of Micor in South Africa (2015);
  • Advising Mobile telecommunication Company (Zain) in Kuwait on its joint venture arrangement with iflix (UAE 2016), YoYo (Bahrain 2016), GlobeMed (2018) and Swiftel (2018)
  • Advising one of the largest English Schools in Kuwait in the sale of 100% equity to an international education operator (2016);
  • Advising Kuwait Telecommunications Company (Viva) in its acquisition of a leading internet provider in Kuwait (2018);
  • Advising Safat Energy KSCC (Kuwait) in the divestment from National Drilling Company (Egypt) (2015);
  • Advising Egis SA in Kuwait, UAE, Bahrain, Lebanon and Palestine in the acquisition of 51% in Projacs International (2015);
  • Advising Trafalgar WLL in Kuwait in the sale of 50% equity to Maarouf family (2016);
  • Advising Kababji SAL in Lebanon the sale of 50% of its capital to Lucid Investment SAL (2013);
  • Advising, on the sale of 100% of its capital to German based business Rocket Internet (2014);

II- Corporate & Commercial Representation

  • Advising Imperial Tobacco in their agency dispute with Jashanmal;
  • Advising Al Ghanim Healthcare in their disputes with Yiaco Medical regarding agencies in connection with Chicco, Bayer, Baxter, Artsana, Paul Hartmann, Abbott in Kuwait;
  • Advising Mobile Telecommunication Company (Zain) in Kuwait and the UAE in relation with various agency agreements with drones’ suppliers (2015-2018);
  • Advising agility in its contracting and service agreements with Petrofac, Pfizer, and Nokia, in the UAE and Saudi Arabia (2015);
  • Advising Ford general Motors inc. in its contractual and agency disputes in Kuwait with Al Wazzan (2016);
  • Advising Menafactors on the establishment of a factoring business in Kuwait, including corporate establishment as well as the regulatory compliance with Central Bank of Kuwait Regulations (2011);
  • Advising Industrial and Commercial Bank of China (ICBC) on the establishment of a branch in Kuwait, including advising on Central Bank of Kuwait and Kuwait Foreign Investment Bureau approval processes (2011);
