Meysan acted as Kuwait counsel for the Joint Lead Managers in connection with Kuwait International Bank K.S.C.P.’s (KIB) issuance of US$500 million senior unsecured sukuk, issued through KIB Sukuk Limited under the US$1.5 billion Trust Certificate Issuance Programme.
Citigroup Global Markets and Standard Chartered, acted as Joint Global Coordinators for this issuance. They served, together with Al Dawli Invest Investment Company K.S.C.C., ASB Capital Limited, KFH Capital Investment Company K.S.C.C., QNB Capital LLC, Arab Bank PLC, Arab Banking Corporation (B.S.C.), Boubyan Bank K.S.C.P., Emirates NBD PJSC, Sharjah Islamic Bank PJSC., and Warba Bank K.S.C.P. as Joint Lead Managers and Bookrunners.
KEY HIGHLIGHTS:
– The transaction featured a Wakala/Murabaha structure.
– The sukuk were offered in Regulation S format and listed on the London Stock Exchange’s International Securities Market (ISM).
– The sukuk have a five-year tenor and mature in 2031.
– The sukuk carry a profit rate of 5.502%, representing a 95 basis points spread over the five-year U.S. Treasury benchmark.
The transaction further strengthens the firm’s track record in advising on shariah compliant financing instruments and international offerings.
